TERMS OF SERVICE

1. THE ARCHITECTURAL SCOPE

ProBuild Business Solutions ("ProBuild," "we," "us") provides business formation, infrastructure development, and compliance support services. By initializing a "Build" on our Gateway, you ("The Client") agree to these terms. We are a business filing service, not a law firm, and do not provide legal or tax advice.

2. THE PROBUILD GATEWAY & FEES

  • Initialization Fee: The $150 "SwiftStart™" fee is for the professional preparation and handling of your documents.

  • State Fees: All statutory state filing fees are passed directly to the Client. The "Dynamic Gateway" calculates these based on 2026 state rates.

  • No Refunds: Once a filing is submitted to a Secretary of State or Federal agency, fees are non-refundable as they are immediately committed to government registries.

3. 2026 FEDERAL COMPLIANCE (BOI REPORTING)

Under the Corporate Transparency Act, most entities formed in 2026 must report Beneficial Ownership Information to FinCEN.

  • Client Responsibility: The Client is solely responsible for the accuracy of the Government ID and personal data provided to the ProBuild Vault.

  • Filing Authorization: By submitting your ID, you authorize ProBuild to act as your "Filing Associate" for the purpose of state formation and Federal EIN acquisition.

4. THE "SECURE VAULT" PROTOCOL

  • ProBuild utilizes 256-bit encrypted Google Workspace environments for document storage.

  • While we maintain "military-grade" security standards, the Client is responsible for maintaining the confidentiality of their private Portal link.

5. LIMITATION OF LIABILITY

ProBuild’s total liability for any "Build" is limited to the amount paid for our professional service fee ($150). We are not liable for state processing delays, IRS system outages, or banking declines. We "lay the foundation"; the Client is responsible for "operating the building" (compliance, taxes, and renewals).

6. TERMINATION OF BUILD

We reserve the right to "Pause" or "Terminate" a build if:

  1. The Client fails to provide a valid Government ID within 72 hours of initialization.

  2. The Client provides fraudulent or conflicting data.

  3. The Client utilizes the entity for prohibited or illegal activities.

7. GOVERNING LAW

These terms are governed by the laws of the State of Missouri. Any disputes shall be settled in the courts of St. Louis, MO.
